Greetings to all members of the diabetic division!
As you know Vincent Chaney and Michele Chaney have resigned from all duties 
in the division.  We are hoping Michele gains her health back to normal. Our 
prayers and thoughts are with them.
Joe Ruffalo, President of the NFBNJ has scheduled a conference call for 
Thursday, February 19 at 8:00 Pm for all members in the division.

CONSTITUTION



Diabetes Division of the National Federation of the Blind of New Jersey



Adopted November, 2008



ARTICLE I — NAME



The name of this organization shall be the Diabetes Division of the National 
Federation of the Blind of New Jersey which is affiliated with the Diabetes 
Action Network of the National Federation of the Blind.



ARTICLE II — PURPOSE



SECTION ONE:

The purpose of this organization shall be to create a climate of opportunity 
for all diabetics in home, school, and society; to support and educate all 
diabetics about the ramifications of the disease; to facilitate the sharing 
of experiences and concerns among diabetics; to develop and expand resources 
available to all diabetics; and as a diabetic support network.



SECTION TWO:

The Division and its local diabetic support groups must not merely be social 
organizations but must formulate programs and actively work to promote the 
economic and social betterment of the blind diabetic.  The Division and its 
local diabetic support groups will comply with the provisions of the 
Constitution of the Federation.  Policy decisions of the Federation are 
binding upon the Division and its local diabetic support groups, and the 
Division and its local diabetic support groups will participate 
affirmatively in carrying out such policy decisions.  The name National 
Federation of the Blind, Federation of the Blind, or any variant thereof is 
the property of the National Federation of the Blind; and if the Division or 
any of its local diabetic support groups cease to be part of the National 
Federation of the Blind (for whatever reason), the right to use the name 
National Federation of the Blind, Federation of the Blind, or any variant 
thereof shall be forfeited.











ARTICLE III — MEMBERSHIP





The members of this organization shall be diabetics and others interested in 
promoting the purposes of this organization.  The members of this 
organization are members of the National Federation of the Blind of New 
Jersey and shall have the same rights, privileges, and responsibilities as 
other members of the National Federation of the Blind of New Jersey and the 
National Federation of the Blind.



ARTICLE IV — OFFICERS AND BOARD OF DIRECTORS



Section 1: OFFICERS AND THE BOARD OF DIRECTORS



The officers of this organization shall be:  President; Vice–President; 
Secretary; Treasurer; and three Board of Directors.  At the first annual 
meeting of the Diabetes Division of the National Federation of the Blind of 
New Jersey, elections will be held for the entire board including the 
officers and the board of directors.  The officers and one (1) of the Board 
of Directors will have two year terms.  The other two Board of Directors 
will have one (1) year terms.  The next year the two Board of Directors who 
are up for election will then have a two year term from that time on.  The 
duties of those officers shall be those customarily associated with their 
respective offices.  The officers shall constitute the Board of Directors.



SECTION 2: ELECTIONS



  The officers and board shall be elected annually by a majority vote of the 
members of the organization present and voting at the annual meeting.  There 
shall be no proxy voting.



SECTION 3: NOMINATING COMMITTEE





The Nominating Committee of the Diabetes Division of the National Federation 
of the Blind of New Jersey shall consist of three (3) Members appointed by 
The President prior to the Annual Meeting which is held at the State 
Convention.  One member will be designated as the Chairperson, who will run 
the Election at the Annual Meeting each year.







The responsibility of the Nominating Committee shall be to select a Slate of 
Officers and/or Directors who meet the requirements set forth in the 
Constitution.  This Slate is to be introduced at the Annual Meeting. 
Nominations from the floor will be permitted at the time of the Election. 
But, any Member being nominated for an Office from the floor must be 
present, shall have been approached in advance of this Meeting, and have 
already expressed a willingness to run.



The Election shall be conducted by the Chairperson of the Nominating 
Committee.  Officers and Directors shall be elected in the following order: 
President, First Vice President, Secretary, Treasurer and one Director in 
even numbered years.  Only two Directors shall be elected in odd numbered 
years.  All new Officers and Directors shall begin their two (2) year term 
following the close of each Annual Meeting.





Section 4: Election Procedures:



The Chairperson will announce the person proposed by the Nominating 
Committee for President.  He/she will then ask three (3) separate times if 
there are any other Nominations from the floor for President.  After the 
third request, a motion from the floor must be made, followed by a second to 
close Nominations for President.  If there are no Nominations from the floor 
for President, the motion should also call for one vote from the current 
Secretary to elect that Candidate by acclamation.  If there are Nominations 
from the floor for President, the names of the Candidates running for 
President shall then be announced, and a vote taken.  All Officers and 
Directors shall be elected by a majority vote of the Active Members present 
and voting.  If no candidate receives a majority vote on the first ballot, 
the person receiving the fewest votes shall be dropped from the list of 
candidates, and a second ballot shall be taken.  This procedure shall 
continue until one of the candidates has received a majority vote from the 
Active Members present and voting.



This procedure will then be repeated for the First Vice President, 
Secretary, Treasurer, and one Director during even numbered years.  Only two 
Directors shall be elected during odd numbered years.









ARTICLE V — MEETINGS



The Diabetes Division of the National Federation of the Blind of New Jersey 
shall hold its annual meeting at the time and place of the annual state 
convention of the National Federation of the Blind of NJ.  The Board of 
Directors shall conduct the business of the organization between annual 
meetings.



ARTICLE VI — LOCAL DIABETIC SUPPORT GROUPS



Under procedures to be established by the Board of Directors of the Diabetes 
Division of the National Federation of the Blind of New Jersey of the 
National Federation of the Blind, local diabetic support groups may be 
established.  Activities of local diabetic support groups will be consistent 
with the policies and activities of the National Federation of the Blind and 
of the particular state affiliate and local chapters in their vicinity.



ARTICLE VII — FUNDS AND FINANCING



Funds collected by or in the name of this organization shall be used for 
expenses used by the Diabetes Division of the National Federation of the 
Blind of New Jersey for outreach, seminars and other expenses which may be 
incurred.  Expenses shall be as authorized by, and paid under the procedures 
established by the National Federation of the Blind.



ARTICLE VIII — AMENDMENTS



This Constitution may be amended by a two–thirds vote of the members present 
and voting at any annual meeting of the Diabetes Division of the National 
Federation of the Blind of New Jersey; but the amendments shall not become 
effective until approved by the Board of Directors of the National 
Federation of the Blind of NJ.
