minutes<BR><BR>CONSTITUTION<BR><BR><BR><BR>Diabetes Division of the National
Federation of the Blind of New Jersey<BR><BR><BR><BR>Adopted November,
2008<BR><BR><BR><BR>ARTICLE I — NAME<BR><BR><BR><BR>The name of this
organization shall be the Diabetes Division of the National <BR>Federation of
the Blind of New Jersey which is affiliated with the Diabetes <BR>Action
Network of the National Federation of the Blind.<BR><BR><BR><BR>ARTICLE II —
PURPOSE<BR><BR><BR><BR>SECTION ONE:<BR><BR>The purpose of this organization
shall be to create a climate of opportunity <BR>for all diabetics in home,
school, and society; to support and educate all <BR>diabetics about the
ramifications of the disease; to facilitate the sharing <BR>of experiences and
concerns among diabetics; to develop and expand resources <BR>available to all
diabetics; and as a diabetic support network.<BR><BR><BR><BR>SECTION
TWO:<BR><BR>The Division and its local diabetic support groups must not merely
be social <BR>organizations but must formulate programs and actively work to
promote the <BR>economic and social betterment of the blind diabetic.
The Division and its <BR>local diabetic support groups will comply with the
provisions of the <BR>Constitution of the Federation. Policy decisions
of the Federation are <BR>binding upon the Division and its local diabetic
support groups, and the <BR>Division and its local diabetic support groups
will participate <BR>affirmatively in carrying out such policy
decisions. The name National <BR>Federation of the Blind, Federation of
the Blind, or any variant thereof is <BR>the property of the National
Federation of the Blind; and if the Division or <BR>any of its local diabetic
support groups cease to be part of the National <BR>Federation of the Blind
(for whatever reason), the right to use the name <BR>National Federation of
the Blind, Federation of the Blind, or any variant <BR>thereof shall be
forfeited.<BR><BR><BR><BR><BR><BR><BR><BR><BR><BR><BR><BR>ARTICLE III —
MEMBERSHIP<BR><BR><BR><BR><BR><BR>The members of this organization shall be
diabetics and others interested in <BR>promoting the purposes of this
organization. The members of this <BR>organization are members of the
National Federation of the Blind of New <BR>Jersey and shall have the same
rights, privileges, and responsibilities as <BR>other members of the National
Federation of the Blind of New Jersey and the <BR>National Federation of the
Blind.<BR><BR><BR><BR>ARTICLE IV — OFFICERS AND BOARD OF
DIRECTORS<BR><BR><BR><BR>Section 1: OFFICERS AND THE BOARD OF
DIRECTORS<BR><BR><BR><BR>The officers of this organization shall be:
President; Vice–President; <BR>Secretary; Treasurer; and three Board of
Directors. At the first annual <BR>meeting of the Diabetes Division of
the National Federation of the Blind of <BR>New Jersey, elections will be held
for the entire board including the <BR>officers and the board of
directors. The officers and one (1) of the Board <BR>of Directors will
have two year terms. The other two Board of Directors <BR>will have one
(1) year terms. The next year the two Board of Directors who <BR>are up
for election will then have a two year term from that time on. The
<BR>duties of those officers shall be those customarily associated with their
<BR>respective offices. The officers shall constitute the Board of
Directors.<BR><BR><BR><BR>SECTION 2: ELECTIONS<BR><BR><BR><BR> The
officers and board shall be elected annually by a majority vote of the
<BR>members of the organization present and voting at the annual
meeting. There <BR>shall be no proxy voting.<BR><BR><BR><BR>SECTION 3:
NOMINATING COMMITTEE<BR><BR><BR><BR><BR><BR>The Nominating Committee of the
Diabetes Division of the National Federation <BR>of the Blind of New Jersey
shall consist of three (3) Members appointed by <BR>The President prior to the
Annual Meeting which is held at the State <BR>Convention. One member
will be designated as the Chairperson, who will run <BR>the Election at the
Annual Meeting each year.<BR><BR><BR><BR><BR><BR><BR><BR>The responsibility of
the Nominating Committee shall be to select a Slate of <BR>Officers and/or
Directors who meet the requirements set forth in the <BR>Constitution.
This Slate is to be introduced at the Annual Meeting. <BR>Nominations from the
floor will be permitted at the time of the Election. <BR>But, any Member being
nominated for an Office from the floor must be <BR>present, shall have been
approached in advance of this Meeting, and have <BR>already expressed a
willingness to run.<BR><BR><BR><BR>The Election shall be conducted by the
Chairperson of the Nominating <BR>Committee. Officers and Directors
shall be elected in the following order: <BR>President, First Vice President,
Secretary, Treasurer and one Director in <BR>even numbered years. Only
two Directors shall be elected in odd numbered <BR>years. All new
Officers and Directors shall begin their two (2) year term <BR>following the
close of each Annual Meeting.<BR><BR><BR><BR><BR><BR>Section 4: Election
Procedures:<BR><BR><BR><BR>The Chairperson will announce the person proposed
by the Nominating <BR>Committee for President. He/she will then ask
three (3) separate times if <BR>there are any other Nominations from the floor
for President. After the <BR>third request, a motion from the floor must
be made, followed by a second to <BR>close Nominations for President. If
there are no Nominations from the floor <BR>for President, the motion should
also call for one vote from the current <BR>Secretary to elect that Candidate
by acclamation. If there are Nominations <BR>from the floor for
President, the names of the Candidates running for <BR>President shall then be
announced, and a vote taken. All Officers and <BR>Directors shall be
elected by a majority vote of the Active Members present <BR>and voting.
If no candidate receives a majority vote on the first ballot, <BR>the person
receiving the fewest votes shall be dropped from the list of <BR>candidates,
and a second ballot shall be taken. This procedure shall <BR>continue
until one of the candidates has received a majority vote from the <BR>Active
Members present and voting.<BR><BR><BR><BR>This procedure will then be
repeated for the First Vice President, <BR>Secretary, Treasurer, and one
Director during even numbered years. Only two <BR>Directors shall be
elected during odd numbered
years.<BR><BR><BR><BR><BR><BR><BR><BR><BR><BR>ARTICLE V —
MEETINGS<BR><BR><BR><BR>The Diabetes Division of the National Federation of
the Blind of New Jersey <BR>shall hold its annual meeting at the time and
place of the annual state <BR>convention of the National Federation of the
Blind of NJ. The Board of <BR>Directors shall conduct the business of
the organization between annual <BR>meetings.<BR><BR><BR><BR>ARTICLE VI —
LOCAL DIABETIC SUPPORT GROUPS<BR><BR><BR><BR>Under procedures to be
established by the Board of Directors of the Diabetes <BR>Division of the
National Federation of the Blind of New Jersey of the <BR>National Federation
of the Blind, local diabetic support groups may be <BR>established.
Activities of local diabetic support groups will be consistent <BR>with the
policies and activities of the National Federation of the Blind and <BR>of the
particular state affiliate and local chapters in their
vicinity.<BR><BR><BR><BR>ARTICLE VII — FUNDS AND
FINANCING<BR><BR><BR><BR>Funds collected by or in the name of this
organization shall be used for <BR>expenses used by the Diabetes Division of
the National Federation of the <BR>Blind of New Jersey for outreach, seminars
and other expenses which may be <BR>incurred. Expenses shall be as
authorized by, and paid under the procedures <BR>established by the National
Federation of the Blind.<BR><BR><BR><BR>ARTICLE VIII —
AMENDMENTS<BR><BR><BR><BR>This Constitution may be amended by a two–thirds
vote of the members present <BR>and voting at any annual meeting of the
Diabetes Division of the National <BR>Federation of the Blind of New Jersey;
but the amendments shall not become <BR>effective until approved by the Board
of Directors of the National <BR>Federation of the Blind of
NJ.<BR><BR><BR><BR></DIV><BR><BR><FONT color=#000000
